Nadalini Global, Inc. is a Nationwide Licensed Freight Brokerage operating under MC-1469182-B and U.S. DOT No. 3949236. NGI is not a motor carrier and does not provide motor-carrier transportation services.
1. Acceptance of Terms
By accessing the Nadalini Global, Inc. website, portal, documents, forms, communications, or related digital systems, you agree to be bound by these Terms of Use. If you do not agree, you must not access or use the website, portal, forms, documents, or systems.
2. Company Identity and Licensing
Nadalini Global, Inc. is a licensed freight broker. NGI coordinates transportation services through vetted third-party motor carriers and approved logistics providers. NGI does not own, operate, dispatch, control, or supervise motor-carrier drivers, routes, equipment, or motor-carrier operations.
3. Brokerage Boundary
All services, communications, estimates, coordination, and documentation provided by NGI are offered within the scope of freight brokerage and administrative logistics coordination. Nothing on this website or portal creates a motor-carrier relationship, employment relationship, partnership, agency relationship, franchise, joint venture, or operational-control relationship unless separately agreed in a signed written agreement by NGI.
4. Public Website Access
The public website is provided for general business, informational, credential, federal capability, and intake purposes. Public website access does not create a right to portal access, load opportunities, freight-agent participation, carrier approval, shipper account approval, or membership in the NGI network.
5. Portal Access Rules
The NGI Fortress Portal is restricted to authorized internal NGI personnel and approved external members. Portal access is granted by NGI administration only. NGI may approve, deny, suspend, revoke, or restrict portal access at any time for business, compliance, risk, security, operational, payment, or administrative reasons.
6. Application and Approval Model
Membership, freight-agent participation, carrier onboarding, shipper account review, federal contracting intake, and related access paths are by application and approval only. Submission of a form or application does not guarantee approval. NGI may request additional information, documents, agreements, insurance records, authority verification, payment confirmation, or administrative review before access or participation is granted.
7. The Sentinel Standard
Full portal access, protected system access, payment-supported access, or role-specific workspace access may require multiple conditions to be satisfied concurrently. These may include identity verification, MFA enrollment, applicable payment settlement, required documentation, role-specific agreement review, and admin verification. No partial completion creates a right to full access.
8. Account Security
Users are responsible for maintaining the confidentiality of their login credentials, password, MFA device, and account access. Users must notify NGI immediately of suspected unauthorized access, compromised credentials, account misuse, or security concerns. NGI may lock, suspend, or reset accounts when security concerns exist.
9. Payment Terms
Where payment is required, payment processing may be handled through third-party payment processors including Stripe or other approved providers. Payment submission does not guarantee final approval, continued portal access, carrier participation, freight-agent activation, shipper account activation, or any specific business opportunity.
10. Rejection, Refund, Suspension, and Revocation
NGI may reject, suspend, downgrade, or revoke access for incomplete documentation, failed verification, compliance concerns, payment issues, suspected fraud, policy violations, security risks, operational concerns, or business discretion. If a payment is reversed, refunded, disputed, declined, or invalidated, access may be downgraded or removed immediately.
11. User Conduct
Users must not misuse the website, portal, forms, workflows, documents, systems, or communications. Prohibited conduct includes unauthorized access attempts, scraping, reverse engineering, credential sharing, fraudulent submissions, false authority claims, unauthorized use of NGI credentials, interference with systems, or attempts to access data belonging to other users.
12. Intellectual Property and Proprietary Materials
This website, portal, and all associated content, workflows, systems, frameworks, documents, tools, business logic, compliance standards, operational methods, strategic architecture, and proprietary materials are owned by Nadalini Global, Inc. and were conceived, developed, and built by Pamela M. Nadalini, Sole Founder and CEO of Nadalini Global, Inc.
No user may copy, reproduce, distribute, modify, publish, sell, license, reverse engineer, imitate, or create derivative works from NGI proprietary materials without written authorization from NGI.
13. Documents and Downloads
Any documents, PDFs, templates, agreements, capability statements, terms, policies, forms, badges, verification materials, or portal materials are provided only for the authorized purpose identified by NGI. Unauthorized copying, redistribution, commercial use, or alteration is prohibited.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law controls a specific transportation, brokerage, payment, privacy, or regulatory issue. Any dispute arising from or relating to the website, portal, access status, payment-supported access, proprietary materials, or these Terms shall be handled in the appropriate state or federal forum located in Florida unless another forum is required by applicable law.
15. Limitation of Liability
To the fullest extent permitted by applicable law, Nadalini Global, Inc., its founder, officers, employees, agents, and contractors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to use of or inability to use the NGI Platform, including loss of revenue, profits, business, data, or goodwill, business interruption, unauthorized access to systems, freight loss or damage caused by third-party carriers, or system downtime. Total aggregate liability shall not exceed the greater of amounts paid to NGI in the twelve months preceding the claim or one hundred dollars ($100.00).
16. Disclaimer of Warranties
The NGI Platform and all associated content, tools, systems, and services are provided on an as-is and as-available basis without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
17. Indemnification
You agree to defend, indemnify, and hold harmless Nadalini Global, Inc., its founder Pamela M. Nadalini, officers, employees, agents, contractors, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses including reasonable attorneys fees arising out of or related to your use of the NGI Platform, your violation of these Terms of Use, your violation of any applicable law or third-party right, or any false or fraudulent information submitted through the NGI Platform.
